1. Eligibility and Account Registration

1.1 Eligibility: To use our Services, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract.

1.2 Account Creation: You must provide accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your account credentials.

1.3 Identity Verification: As a financial services provider, we are required by law (e.g., “Know Your Customer” or KYC regulations) to verify your identity. You authorize us to make inquiries, directly or through third parties, to validate your identity.

2. Description of Services

JanusProteus provides a ticketing platform that issues persistent, identity-bound access credentials (“Keys”) for live events. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

3. User Conduct and Restrictions

You agree not to:

• Use the Services for any illegal purpose, including money laundering or financing of terrorism.
• Provide false, inaccurate, or misleading information.
• Reverse engineer, decompile, or attempt to extract the source code of our software.
• Use any automated system (bots, spiders) to access the Services without our prior written consent.

4. Fees and Payments

4.1 Fee Schedule: Current fees for our Services are disclosed in the App and on our Website. We reserve the right to change our fees upon providing 30 days' notice.

4.2 Transaction Finality: Once a transaction is initiated, it may be irreversible. You are responsible for verifying all transaction details before confirming.

5. Intellectual Property

All content, trademarks, logos, and software associated with the Services are the property of JanusProteus or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes.

6. Privacy and Data Security

Your privacy is important to us. Our collection and use of your data are governed by our Privacy Policy. While we employ industry-standard security measures, we cannot guarantee absolute security. You agree to notify us immediately of any unauthorized access to your account.

7. Limitation of Liability

To the maximum extent permitted by law, JanusProteus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

8. Indemnification

You agree to indemnify and hold harmless JanusProteus and its officers, directors, and employees from any claims, liabilities, damages, and expenses arising out of your use of the Services or your violation of these Terms.

9. Dispute Resolution and Arbitration

9.1 Governing Law: These Terms are governed by the laws of the State of Michigan.

9.2 Arbitration: Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in Detroit, Michigan, rather than in court, except for small claims court matters.

10. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the new Terms on our site or through the App. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
